Purpose and legal status: Federal Law No.4 of 2000 establishes the SCA in Abu Dhabi as a public authority with separate legal personality and financial and administrative independence. It reports to the Cabinet of Ministers. Its purposes include sound investment of savings, accurate transactions, prices determined by supply and demand, investor protection, investment awareness and financial and economic stability. It must not conduct commercial business, hold private interests in undertakings, or own or issue securities.
Unpaid amounts due to SCA: The SCA board may first warn of the financial breach, then require rectification within 30 days of notice, then impose a late-payment penalty counting a part-month as a full month. Temporary suspension may follow until fees are paid, or the matter may be brought to the board for another course of action. This sequence concerns the market's unpaid obligations; it is not the separate licensed-body fine scale.
Budget and audit timetable: The fiscal year runs from 1 January to 31 December. The chief executive submits the draft budget to the board at least one month before the new year; the approved budget becomes an annex to the State budget. Final accounts and the auditor's report are presented to the board within 90 days after year-end. Auditors may inspect records and request asset/liability information at any time and report obstruction or inability to complete their work to the board.
Three application clocks: SCA examination is within 15 days of submission. An incomplete application must be completed within 15 days of notification. The board decides within 30 days of the complete application being placed before it, and its decision is notified within one week of issue. The board may request additional information. Rejection must give reasons; resubmission is permitted once those reasons no longer exist.
Trading hours, systems and investor accounts: Trading is at least five working days weekly excluding official holidays, and at least two hours daily; changes need SCA consent. The electronic system stops purchase orders exceeding a broker's guarantee or reaching the special-order limit and allows issuers/registrars to view their share registers. A special order needs advance market approval and exceeds 80% of the broker's bank guarantee. Normally each investor has a single investor number and trading account with a broker; joint accounts are possible, and additional numbers or omnibus arrangements require SCA approval.
Gifts: A board member must not accept a gift intended or likely to influence performance of company duties. Objects of symbolic or actual value of AED 500 or less and simple or symbolic entertainment unrelated to a special company transaction or activity are permitted by the stated rule. This is a company-board rule, not a general allowance for regulator employees.
Related-party scope and approval: Related parties include the chair, directors, senior executive management and employees, companies in which they own at least 30%, and subsidiaries, sisters and affiliates. The source requires board consent for transactions not exceeding 5% of company capital and general-assembly approval at 5% or more: its wording overlaps at exactly 5%. Above 5% of issued capital, an SCA-accredited assessor must evaluate the transaction. An interested party cannot vote. A significant change requires fresh approval and, above that assessment threshold, renewed assessment at company expense.
Records, disclosure and shareholder remedies: Maintain a related-party register and supporting transaction records, and inform the general assembly. Before contracting, the related party gives written material details to the board, which immediately discloses them to SCA and the market. The chair supplies transaction and benefit details and a fairness confirmation to SCA. Include details in annual accounts and publish on company and market websites. A shareholder holding at least 5% may inspect transaction records and seek court disclosure; an unfair, harmful conflicted transaction may be cancelled with profit recovery and compensation. Ordinary-business transactions without preferential terms are excepted from related-party classification, but directors still disclose and the other directors consider participation.
Capital and functions: A State-incorporated legal person or foreign-company branch needs paid-up capital of at least AED 30 million. Main functions are Category Manager or Official, Compliance Officer and Risk Management Officer. Specified activities require a licence and main functions/approved jobs need prior SCA approval before practice.
