يُفصِّل هذا الفصل بشكل دقيق وشامل القواعد والأنظمة المعتمدة من هيئة السوق المالية والمتعلقة بطرح الأوراق المالية وإصدارها والالتزامات المستمرة التي تقع على عاتق المُصدرين في السوق المالية السعودية. يصنف النظام عمليات الطرح إلى أربعة أنواع رئيسية: 'الطرح المستثنى' (مثل الأوراق الصادرة عن حكومة المملكة أو الطروحات الموجهة لجهات مرتبطة بالمُصدر)، 'الطرح الخاص' (والذي يستهدف العمالء المؤهلين والمؤسسيين أو يكون محدوداً وفق شروط معينة)، 'الطرح العام' (الذي يستهدف عموم الجمهور ويشترط الإدراج في السوق الرئيسية)، و'الطرح في السوق الموازية' (نمو).
